Termos e Condi\u00e7\u00f5es do Programa de Representantes IndiaGate<\/span><\/h1>\n

1. Objetivo da Parceria<\/span><\/h2>\n

O Programa de Representantes IndiaGate tem como objetivo permitir que pessoas f\u00edsicas ou jur\u00eddicas atuem como promotores comerciais da plataforma IndiaGate, indicando empresas e oportunidades de neg\u00f3cio para fins de importa\u00e7\u00e3o, distribui\u00e7\u00e3o ou representa\u00e7\u00e3o de produtos e servi\u00e7os internacionais intermediados pela IndiaGate.<\/span><\/p>\n

2. Elegibilidade<\/span><\/h2>\n

Podem se cadastrar como representantes:<\/span><\/p>\n

    \n
  • \n

    Pessoas f\u00edsicas maiores de 18 anos;<\/span><\/p>\n<\/li>\n

  • \n

    Pessoas jur\u00eddicas regularmente constitu\u00eddas no Brasil;<\/span><\/p>\n<\/li>\n

  • \n

    Profissionais com atua\u00e7\u00e3o comercial, t\u00e9cnica ou institucional compat\u00edvel com o escopo da IndiaGate;<\/span><\/p>\n<\/li>\n

  • \n

    N\u00e3o ser\u00e3o aceitos candidatos que atuem com conflito de interesses (ex: empresas concorrentes ou parceiros diretos de concorrentes estrat\u00e9gicos).<\/span><\/p>\n<\/li>\n<\/ul>\n

    A IndiaGate se reserva o direito de aprovar ou recusar cadastros sem a necessidade de justificativa formal.<\/span><\/p>\n

    3. Modelo de Comiss\u00e3o<\/span><\/h2>\n
      \n
    • \n

      A comiss\u00e3o padr\u00e3o \u00e9 de <\/span>10% sobre o valor l\u00edquido dos contratos fechados via indica\u00e7\u00e3o do representante<\/span>.<\/span><\/p>\n<\/li>\n

    • \n

      Em casos de sub-indica\u00e7\u00e3o (n\u00edvel 2), a comiss\u00e3o ser\u00e1 <\/span>dividida em 5% para o afiliado direto e 5% para o afiliado que o indicou<\/span>.<\/span><\/p>\n<\/li>\n

    • \n

      A comiss\u00e3o incide apenas sobre valores efetivamente pagos \u00e0 IndiaGate, descontados tributos, encargos banc\u00e1rios e custos log\u00edsticos.<\/span><\/p>\n<\/li>\n

    • \n

      Os pagamentos ser\u00e3o realizados em at\u00e9 <\/span>30 dias ap\u00f3s a quita\u00e7\u00e3o do cliente final<\/span>, via transfer\u00eancia banc\u00e1ria, Pix ou outro meio acordado.<\/span><\/p>\n<\/li>\n

    • \n

      Casos excepcionais (projetos especiais, margens reduzidas, contratos p\u00fablicos) podem ter regras espec\u00edficas de comissionamento previamente acordadas por escrito.<\/span><\/p>\n<\/li>\n<\/ul>\n

      4. Atribui\u00e7\u00f5es e Conduta Esperada<\/span><\/h2>\n

      O representante se compromete a:<\/span><\/p>\n

        \n
      • \n

        Apresentar a IndiaGate de forma \u00e9tica, transparente e alinhada com os materiais oficiais fornecidos;<\/span><\/p>\n<\/li>\n

      • \n

        N\u00e3o negociar em nome da IndiaGate<\/span>, sem autoriza\u00e7\u00e3o formal;<\/span><\/p>\n<\/li>\n

      • \n

        N\u00e3o assumir compromissos comerciais, financeiros ou contratuais<\/span> em nome da marca;<\/span><\/p>\n<\/li>\n

      • \n

        Zelar pela imagem da empresa e reportar potenciais conflitos, fraudes ou desvios;<\/span><\/p>\n<\/li>\n

      • \n

        Utilizar exclusivamente os canais autorizados para capta\u00e7\u00e3o de leads e envio de propostas (link de afiliado, formul\u00e1rio institucional ou canal de atendimento oficial).<\/span><\/p>\n<\/li>\n<\/ul>\n

        5. Confidencialidade e Propriedade Intelectual<\/span><\/h2>\n
          \n
        • \n

          Toda informa\u00e7\u00e3o recebida sobre processos, clientes, produtos, fornecedores e parceiros da IndiaGate \u00e9 considerada <\/span>confidencial<\/span> e <\/span>n\u00e3o pode ser repassada ou explorada comercialmente<\/span> pelo representante, sob pena de responsabiliza\u00e7\u00e3o civil e penal.<\/span><\/p>\n<\/li>\n

        • \n

          Marcas, materiais promocionais, apresenta\u00e7\u00f5es, sistemas e contratos s\u00e3o propriedade exclusiva da IndiaGate ou de seus parceiros internacionais.<\/span><\/p>\n<\/li>\n<\/ul>\n

          6. Descredenciamento e Cancelamento<\/span><\/h2>\n

          A IndiaGate poder\u00e1 suspender ou encerrar o v\u00ednculo com qualquer representante que:<\/span><\/p>\n

          • \n

            Pratique condutas anti\u00e9ticas, fraudulentas ou que gerem preju\u00edzo \u00e0 marca;<\/span><\/p>\n<\/li>\n

          • \n

            Descumpra os termos aqui descritos;<\/span><\/p>\n<\/li>\n

          • \n

            Apresente performance ou engajamento incompat\u00edvel com o programa, a crit\u00e9rio da coordena\u00e7\u00e3o;<\/span><\/p>\n<\/li>\n

          • \n

            Atue de forma incompat\u00edvel com os valores e crit\u00e9rios comerciais da empresa.<\/span><\/p>\n<\/li>\n<\/ul>\n

            O representante poder\u00e1 solicitar seu desligamento a qualquer momento, mediante notifica\u00e7\u00e3o simples por e-mail.<\/span><\/p>\n

            \u00a0<\/span>7. Limita\u00e7\u00e3o de Responsabilidade<\/span><\/p>\n

            A IndiaGate <\/span>n\u00e3o se responsabiliza por perdas, danos ou lucros cessantes<\/span> decorrentes da atua\u00e7\u00e3o do representante em atividades n\u00e3o autorizadas, interpreta\u00e7\u00f5es comerciais equivocadas ou expectativas de ganho n\u00e3o formalmente contratadas.<\/span><\/p>\n

            O representante <\/span>atua como parceiro comercial externo e aut\u00f4nomo<\/span>, n\u00e3o sendo considerado empregado, prestador fixo ou representante legal da empresa.<\/span><\/p>\n

            8. Disposi\u00e7\u00f5es Finais<\/span><\/h2>\n
              \n
            • \n

              A IndiaGate poder\u00e1 atualizar estes termos a qualquer tempo, mediante publica\u00e7\u00e3o na p\u00e1gina oficial do programa.<\/span><\/p>\n<\/li>\n

            • \n

              O aceite digital destes termos constitui contrato v\u00e1lido para todos os efeitos legais, nos termos do Marco Civil da Internet e do C\u00f3digo Civil Brasileiro.<\/span><\/p>\n<\/li>\n

            • \n

              Em caso de lit\u00edgio, fica eleito o foro da Comarca de S\u00e3o Paulo \u2013 SP, com ren\u00fancia de qualquer outro.<\/span><\/p>\n<\/li>\n<\/ul>\n
